These General Terms and Conditions apply to all offers and agreements between eConnect International B.V. (hereinafter "eConnect") and the Customer. Use of the Service constitutes acceptance of these terms. Key definitions include: Service(s) (eConnect SaaS services including integrations, conversions, data enrichment, e-procurement services, and advisory), Agreement (the contract for provision of Services), and SLA (a separate Service Level Agreement, if applicable).
Budgets, catalogues, and similar documents provided by eConnect remain the (intellectual) property of eConnect.
The Service is delivered "as is" at the time of delivery. If a service level has been agreed, the SLA applies. Timelines mentioned in relation to Services are never strict deadlines. eConnect uses reasonable care and expertise but cannot guarantee that Customer content is fully protected against unintentional damage, loss, or deletion.
The Customer must provide eConnect with necessary data, information, and personnel. The Customer is responsible for the accuracy and content of documents provided. The Customer guarantees that the use of supplied data does not violate any laws or third-party rights and indemnifies eConnect against any such claims.
Service performance commitments do not apply in circumstances outside eConnect's control, including: failures in Customer hardware, software, or network; non-compliance with eConnect's configuration requirements; incorrect input or instructions; exceeding quotas; or other disruptions caused by the Customer.
All prices are exclusive of VAT and in euros. The payment term is thirty days. Late payment may result in statutory interest, costs, and extrajudicial collection costs. Prepaid credits are non-refundable. eConnect may apply annual indexation based on the CBS Services Price Index (July–June period) and may adjust product pricing during the term, in which case the Customer has the right to terminate early.
Complaints (including about invoices) must be submitted in writing to complaint@econnect.eu with a detailed description of the nature and grounds of the complaint. The Customer is not entitled to suspend its obligations.
All intellectual property rights in the Service, content, applications, and related materials remain exclusively with eConnect or its licensors. The Customer only receives a right of use, not ownership. For Customer-uploaded content, the Customer retains IP rights but grants eConnect a non-transferable, non-exclusive licence.
Both parties will treat all confidential information related to the Agreement as confidential and will not disclose it to third parties without written permission. Information that is publicly known or already accessible is excluded from this obligation.
eConnect's liability is limited to direct damages only, except in cases of intent or deliberate recklessness. Indirect damages (including consequential damages, lost profits, missed savings, loss of goodwill, business interruption, end-user claims, and loss of data) are excluded. Any liability is capped at the revenue from the Service during the six months preceding the damaging event (excl. VAT). Force majeure events relieve eConnect from liability.
Unless otherwise agreed, the Agreement has an indefinite term. Either party may terminate with three months' written notice. eConnect may dissolve the Agreement if the Customer fails to meet obligations within fourteen days after written notice. Immediate termination is possible in cases of the Customer's insolvency, bankruptcy, liquidation, or cessation of business. After termination, the Customer must download its data before access is removed.
In the context of performing the Service, eConnect processes personal data for the Customer. A Data Processing Agreement (DPA) is appended to these terms; acceptance of the terms includes acceptance of the DPA.
eConnect may amend these terms with at least thirty days' notice. If the Customer does not object within thirty days, the amendments are deemed accepted. If the Customer considers the amendment materially disadvantageous, they must object in writing within thirty days, after which parties will consult.
These terms are governed by Dutch law. The competent court is the District Court of The Hague.
